QUESTION

Dear Mr. Old Man,

One of my bank’s customers asks for our consultation on how to open standby LC. To tell the truth I  am not familiar with this type of LC. I have contacted my colleagues at other banks but it cannot help because they have not yet had any experience in this type of LC.

I will highly appreciate if you explain to me about this type of LC. The customer wants to open standby LC to pay the exporter under the commercial contract.

Hi,

Standby letter of credit is a kind of  letter of guarantee (guarantee). In USA and some countries where banks are not allowed to issue guarantees, they would issue standby letters of credit instead.

Standby letter of credit (SBLC) is different from commercial LC (CLC) in the following aspects:

Purpose of payment type:

The issuing bank’s obligation under SBLC is a secondary one, i.e., the obligation will be triggered when another primary payment mechanism does not work, whereas the issuing bank’s obligation under CLC is a primary obligation, i.e., the issuing bank issues CLC at the request and for the account of the importer to pay for the goods and the issuing bank will honour  upon receipt from the presenter of  complying documents required under the LC.

Governing rules:

SBLC may be subject to UCP 600 or ISP98, whereas a commercial LC is subject to UCP 600.

Required documents for payment:

Documents required under SBLC may be simply a draft accompanied a statement of default, whereas documents requires under CLC are much complex including drafts, invoice, transport documents, certificate of origin, inspection certificate, packing list….

I guess your customer is requesting your bank to issue SBLC to guarantee his//her payment obligation under the sales contract. It is quite possible. However, it is advisable that your customer would rather use CLC than insist on SBLC.

In Vietnam banks are more familiar with guarantees than SBLC. Vietnam has Circular 28.TT-2012/TT/NHNN governing bank guarantees and there is no specific law on SBLC. However, this does not mean that banks in Vietnam cannot issue SBLCs.

If you have to issue SBLC, you still use MT 700 and should pay attention to the following:

Field 40A (Form of Documentary Credit): IRREVOCABLE STANDBY

Field 40E: (Applicable Rules): UCP LATEST VERSION or ISP98

SBLC would not contain fields regarding description of goods, latest shipment date, port of loading, port of discharge…

    Dear anh Đức,
    Em có thấy anh giải thích trong một bài viết về SBLC (https://nhducdng.wordpress.com/2014/08/19/standby-letter-of-credit/)
    là ở một số nước không chấp nhận bảo lãnh thì người ta dùng SBLC để thay thế.
    Em vẫn băn khoăn là về mặt nội dung nó cũng giống nhau (bảo lãnh NH và LCSB) thế thì làm sao họ lại có quy định như vậy anh nhỉ.

    Thực tế em cũng có khách hàng đề nghị phát hành bảo lãnh và họ ghi như sau: Phát hành BL (bảo hành, tạm ứng,…) dưới dạng LC standby. Thực tế em không thấy gì khác việc phát hành BL bằng điện bình thường ngoại trừ có dòng chữ (irrevocable standby letter of credit trong cái điện BL).

    Em cũng mới bắt đầu làm mảng này và khi được các anh chị đi trước chỉ như thế nào thì em sẽ làm theo.
    Quy trình khi em làm là như vậy ạ: Nhận đề nghị từ phía KH + kèm mẫu thư -> Xem xét mẫu thư, đề xuất-> hạch toán như BL bình thường và đi điện sau khi được phê duyệt.
    Và các SBLC bên em đều đi bằng điện MT760.
    Trong các mẫu Văn bản BL khách hàng cung cấp thường để luật điều chỉnh là ISP hoặc URDG và kèm theo luật nước ngoài đối với những nội dung không có trong ISP hoặc URDG) (Anh có thể tư vần thêm giúp em về rủi ro khi để luât điều chỉnh là luật nước ngoài trong khi NHPH là NH Việt Nam không ạ)

      Hi,
      Bảo lãnh ngân hàng (Bank Guarantee) là một cam kết của ngân hàng theo đó ngân hàng cam kết sẽ trả tiền cho người thụ hưởng nếu bên được bảo lãnh không hoàn thành nghĩa vụ nào đó (ví dụ, trả nợ hay thực hiện hợp đồng) với người thụ hưởng (ngân hàng bảo lãnh cho nghĩa vụ của người khác)
      Thư tín dụng dự phòng (SBLC) là một cam kết của ngân hàng theo đó ngân hàng cam kết sẽ trả tiền cho người thụ khi nhận được chứng từ phù hợp (ngân hàng bảo lãnh cho chính nghĩa vụ của mình).

      Mỹ không có luật về bảo lãnh nên các ngân hàng Mỹ không và không được phép phát hành thư bảo lãnh để bảo lãnh nghĩa vụ của người khác. Trong giao dịch L/C nói chung và L/C dự phòng nói riêng, ngân hàng bảo lãnh chính nghĩa vụ của mình (chứ không phải nghĩa vụ của người khác), tức là, ngân hàng sẽ thanh toán khi chứng từ xuất trình phù hợp và chứng từ đó có thể thể hiện một sự vi phạm. Như vậy, ngân hàng không xác định sự vi phạm đã xảy ra mà chỉ xác định chứng từ xuất trình có phù hợp hay không mà thôi. Đó là lý do giải thích vì sao ngân hàng Mỹ sử dụng SBLC thay cho Guarantee.

    Usance bill payment falls on 13th December i.e. Tuesday and it is a holiday for the country of making the payment, but not a holiday for the currency of payment (Ex: Currency of payment is USD and that day is not a New york holiday). When we should pay?. Is it on 12th or 14th?

      Hi,

      UCP 600 defines banking day as a day on which a bank is regularly open at the place at which an act subject to UCP 600 is to be performed.

      ISBP 745 B7 states payment is to be made in immediately available funds on the due date at the place where the draft or documents are payable, provided that such due date is a banking day in that place. When the due date is a non-banking day, payment is due on the first banking day following the due date. Delays in the remittance of funds, for example grace days, the time it takes to remit funds, etc., are not to be in addition to the stated or agreed due date as defined by the draft or documents.

      In view of the above, the issuing bank will make payment on 14th.

    Dear Mr. Old Man,

    We have issued a transferable LC (Issuing Bank) with 60days Sight and now received an amendment from our applicant stating the following to be added under field 47A (As a Condition)

    “At the request of the 1st beneficiary, transferring bank may extend/curtail the tenor of the transferred LC”

    Can we Agreed for the above request.?

    For my understanding, article 38 has provided only few changes for such a LC and changing of tenor is not under the given provision. therefore, we cannot agree for such an amendment unless Applicant requested to change the tenor as required by the 1st beneficiary..i.e. if 1st beneficiary wants to extend the tenor as 90 days sight, amend the LC from 60 days sight to 90 days.

    Please give your expertise with regard to above scenario

      1) any amendment must be agreed by the issuing bank, the confirming bank (if any) and the beneficiary. You are the issuing bank, so you may agree or refuse to issue such amendment.
      2) The 1st beneficiary cannot request the transferring bank to transfer the L/C changing the payment terms from 60 days sight to 90 days sight .
