QUESTION

Our company is specialized in importing P-phones. Our policy is that the quality, quantity and condition of the goods must be checked at our end. If the goods are satisfactory we will sign Hand Over Certificate which is the key document to trigger the payment.

According to the contract we have to open a letter of credit in favour of the supplier. Please let us know whether we can incorporate such a payment condition into the letter of credit and how?

Hi,

Yes you can do that if the beneficiary accepts a letter of credit with such special payment condition.

If the beneficiary accepts such a payment condition, then it can be incorporated by the issuing bank into the letter of credit as follows:

“Upon receipt of the documents complying with the terms and conditions of the credit, we (issuing bank) will deliver the documents to the applicant (free of payment) for the purpose of inspection against a trust receipt signed by the applicant undertaking to provide us with a notice of approval or rejection of payment. We undertake to honour upon occurrence of either of the following events whichever comes first:

(a)Upon receipt of the Notice of Approval/Hand Over Certificate from the applicant; or

(b) On the 21st day after the date of receipt by the applicant of the documents for the purpose of inspection by the applicant.

If we receive a Notice of Rejection from the applicant within 21 days from the receipt date we will notify the presenter accordingly, and shall have no further responsibility therein …”.

I see that American and EU banks would incorporate payment conditions similar to the above into their letters of credit for importing aqua-products from Asian countries.

I believe your bank would agree to issue a letter of credit with such special payment condition. The problem left is whether the beneficiary accept the letter of credit with such payment condition.

    Please note condition (b) above, whether or not the applicant issues HOC, the issuing bank shall pay on the 21th day after the date of receipt by the applicant of the documents for the purpose of inspection by the applicant.

    Hi,Cái này là do lỗi LC phát hành không đúng, có nghĩa là lỗi đánh từ "surveyor" số ít thành số nhiều. Theo Mr. Old Man Inspection Certificate phát hành bởi 1 surveyor là có thể chấp nhận. Sai sót đó không có giá trị từ chối.Điều 3 giải thích từ "competent" không áp dụng trong trường hợp này.

    Không áp dụng. Quy định trên là áp dụng đối với những từ ngữ được sử dụng trong UCP. Ví dụ: từ "a bank" trong UCP là ở số ít nhưng tùy theo trường hợp cũng bao gồm hàm ý số nhiều.

    Em xin hỏi anh Old Man một chút về Airway Bill. Em đang làm về nhập khẩu thiết bị y tế. Bên em đã mở LC nhập hàng từ Abbott Mỹ theo đường hàng không để bán cho công ty Sysbase ở Singapore. Tuy nhiên, công ty Sysbase ở Singapore lại yêu cầu bên em giao hàng trực tiếp cho Sysbase VIệt Nam (là công ty con của Sysbase Singapore ở VIệt Nam) tại sân bay Nội Bài. Và đối tác bên em muốn Sysbase Việt Nam sẽ đứng tên là đơn vị trực tiếp làm thủ tục Hải Quan. Em có trao đổi với ngân hàng họ tư vấn là cứ mở LC như bình thường, khi hàng về sân bay họ sẽ phát hành ủy quyền nhận hàng cho công ty em,sau đó bên em lại phát hành ủy quyền nhận hàng cho Sysbase Việt Nam (ý của họ là giống như ký hậu vận đơn BL 2 lần). Sau đó Sysbase VIệt Nam cầm bộ chứng từ gốc (bộ chứng từ đứng tên công ty em) đi làm tờ khai thông quan.
    ANh cho em hỏi:
    1. Công ty em có thể phat hành ủy quyền nhận hàng lại cho Sysbase Việt Nam dựa trên ủy quyền nhận hàng của ngân hàng không?
    2. Nếu có thể ủy quyền được thì khi Sysbase Việt Nam cầm bộ chứng từ gốc (bộ chứng từ đứng tên công ty em) đi làm tờ khai thông quan có được hải quan chấp nhận không?

      1. Có thể với điều kiện ủy quyền của NHPH có ghi rõ cho phép bên được ủy quyền ủy quyền lại cho một bên thứ ba.
      .
      2. Người khai hải quan theo quy định tại Điều 5 Nghị định 08/2015/NĐ-CP của Chính phủ bao gồm các đối tượng sau đây:
      .
      a. Chủ hàng hóa xuất khẩu, nhập khẩu. Trường hợp chủ hàng hóa là thương nhân nước ngoài không hiện diện tại Việt Nam thì phải thực hiện thủ tục hải quan thông qua đại lý làm thủ tục hải quan.
      b. Chủ phương tiện, người điều khiển phương tiện vận tải xuất cảnh, nhập cảnh, quá cảnh hoặc người được chủ phương tiện vận tải xuất cảnh, nhập cảnh, quá cảnh ủy quyền.
      c. Người được chủ hàng hóa ủy quyền trong trường hợp hàng hóa là quà biếu, quà tặng của cá nhân; hành lý gửi trước, gửi sau chuyến đi của người xuất cảnh, nhập cảnh.
      d. Người thực hiện dịch vụ quá cảnh hàng hóa.
      e. Đại lý làm thủ tục hải quan.
      f. Doanh nghiệp cung ứng dịch vụ bưu chính quốc tế, dịch vụ chuyển phát nhanh quốc tế trừ trường hợp chủ hàng có yêu cầu khác.
